BUSINESS Adler rejects FAI privatisation option The chief executive of FAI, Mr Rodney Adler, said yesterday that privatising his family insurance company was a possibility at the current depressed share price but he said he had ruled it out. Early this month the market for FAI stock was affected by the rumour that Mr Adler, who was. elevated to the job of chief executive just over a month ago after the death of his father, Larry, was planning a privatisation. Mr Adler said yesterday in a television interview that he had dismissed the idea of taking the company private because he believed that FAIl's 1.2 million policyholders "would as sooner insure with a public company or a public entity rather than a private The stock has fallen from a high of $3.35 before his father's death to a close of $2.35 on Friday, wiping $221 million off the market capitalisation of the group. Mr Adler, asked if he would privatise if the stock continued to decline over a long period, said: By ROBERT WHITEHEAD "In the longer term, if the share price does fall, greed would take the better part of me and I would probably do something." "Privatisation is a viable option at this current share price.

What the share price is saying now, for a dollar that you invest you get a dollar's worth of shareholders' funds and you get the whole. insurance empire for nothing. "Therefore, privatisation is an issue but something that we as a family are not considering," he said on Network Ten's Business Week program. With FAI now worth just $519 million based on Friday's close, the stock has probably shed all of the "entrepreneur premium" attached to it because of Mr Adler's father's expertise in establishing and running the empire. The present price bears little resemblance to the fundamentals of the company, and any takeover offer launched to privatise could be expected to be at levels well above the current low.

Mr Adler owns 49 per cent of the shares, and a bid at $2.85, which was the first price support level that the stock sagged to in December, would cost him $321 million. Mr Adler "something we are not Bid 'will leave Advance $140m short' minimum. Challenge's ratio was 9.83 per cent. The document claims Advance's ratio would fall to 4.85 per cent, well short of the minium, and that the bank would need to raise over $140 million in capital to meet this target. While the Reserve Bank's guidelines allow banks to raise supplementary, capital in the form of subordinated debt, this will not help the bank, as the maximum it could raise under the guidelines is $84.8 million.

So From Page 33 it will have to resort to more equity raisings. The would need another $59 million of capital (other than subordinated debt) to meet the 8 per cent minimum, and this is only a minimum. Importantly, the additional $59 million would have to be raised mainly from equity capital, given that the use of the first option, raising subordinated debt, leaves no other option for raising external capital. This is where Advance runs into problems. Advance has 107 million shares on issue, with the Elders may profit on Equiticorp fall From Page 33 covered by a "specific charge over tangible assets which are adequate to cover our Whether Elders syndicated the loan or later on-sold some of it is uncertain.

Elders has a substantial presence in NZ through Elders Resources NZFP, which has a large New Zealand share base. It would have little difficulty obtaining NZ Commerce Commission approval to take control of the recently revamped steel producer. Elders has been a trader in steel through its sophisticated marketing divisions, and has arranged sales of BHP steel to several Asian countries. The company also uses vast quantities of steel for its beer cans and has an indirect interest in can manufacturing through its holding in SA Brewing Holdings, which acquired J. Gadsden in 1986.

NZ Steel was the catalyst which forced Equiticorp into provisional liquidation because its SNZ500 million debt made it difficult to sell. BHP and Fletcher Challenge have been negotiating for several months to buy NZ Steel. Hawkins has some explaining to do From Page 33 trustee controlling 40 million. If the pressure of making rights issues increased its number of shares to 160 million, the trustee could no longer protect the bank from suitors. The $140 million sum needed to meet the 8 per cent minimum is strictly a minimum.

Advance would be in constant need of fresh capital to stay above this minimum as its asset base rose. Given that the State Bank of NSW and the Bank of New Zealand both own just below the 10 per cent limit, this is a sobering outcome for the Advance board. asset program which raised more than billion. problem was, selling assets post-crash in sale, an attempt to stay afloat meant taking some heavy losses on the chin. And there still were all those debts to cover.

The only thing to do was to put up a smoke-screen. A new holding company was formed at the top of the tree which made paper takeover, bids for three other major companies including Equiticorp Tasman. si standards restructure, Equiticorp to survive for 18 The and the laxity of NZ reporting months without issuing any detailed accounts. The contempt with which Equiticorp has treated its shareholders was never more apparent than last week. On Thursday, in reply to a NZ Stock Exchange query, the company said it could offer no explanation as to why its share price had fallen to 26c from 60c three months earlier.

The next day, a "don't sell" notice was issued to shareholders only hours before appointing a provisional liquidator. Shareholders can now expect nothing. Doing business in Vietnam requires much patience From Page 33 prepares for that day and as the Japanese and others move to extend their business links with Vietnam, a policy rethink becomes more pressing. As things stand, successful trade with Vietnam depends on companies coming up with barter arrangements or working out counter- -trade arrangements, under sale of equipment to Vietnam or investment there is repaid in product. companies are in the forefront of developing innovative business practices in Vietnam," says a source with a close working knowledge of the subject, that reflects the difficulty of doing business in the country.

"The Japanese just flog lots of credit, the Taiwanese bribe everyone and Hong Kong and Singapore do the usual barter trade." According to this source, the Japanese see the provision of credit as an investment in the future. "They don't mind Vietnam being in debt to them," he says. "It gives them a hold over Vietnam. They will call in their debts when the economy comes good. The Japanese take a very long-term view.

The basic policy is to get things up and running, get the Vietnamese dependent on them, and credit is the only way to do Thirty-five joint venture agreements have signed since the introduction of the foreign investment law, three of them with Australian companies. "In terms of officially recognised investment, we are probably the biggest," says an Australian trade official. Another problem is that trade is conducted through State trading companies. And while they are keen to take advantage of their increased autonomy and expand their links with hard-currency economies, there are limits on their freedom of manoeuvre. Three-quarters of Vietnam's trade is tied up in long-term arrangements with the Comecon bloc, Rowland to take House of Fraser fight to Lords By DEBORAH SMITH LONDON: British businessman Mr Tiny Rowland plans to take his relentless pursuit of "justice" over the ownership of the House of Fraser stores group and its flagship, Harrods, to the highest court in the land, the House of Lords.

The indefatigable chief executive of Lornho, the international mining and trading conglomerate, celebrated a short-lived victory last week after a favourable decision in the High Court, culminating a 13-year battle to take over the House of Fraser. Three High Court judges ordered Lord Young, Secretary of Trade and Industry, to refer the 1985 acquisition by the Al Fayed brothers to the Monopolies and Mergers Commission, the only body with the powers to force the three Egyptians to divest their assets. On Friday, Lord Young was successful in the Court of Appeal in having that ruling overturned. The 615 million-pound bil- PERSONAL NOTICES BIRTHS ENGAGEMENTS, DEATHS, ETC BIRTHS DEATHS DEATHS DWYER. Lonrho claimed in court that a 750-page report on the takeover by two Department of Trade inspectors was a "bombshell" that should be published immediately in the public interest. The document is being examined by the Serious Fraud Office.

The Court of Appeal also overturned the High Court directive that Lord Young rethink his decision to defer publication of the report until the fraud investigation is completed. The Law Lords will hear Lonrho's case in three weeks. AFTER 14 days from publication of this Notice an Application for Probate of the Will dated 8th October. 1981 and Codicil dated 17th August. 1985 of JOHN ALLEN late of Bank Street.
